Abstract

The Law of Warehouse Receipt (Act No. 9/2006 about Warehouse Receipt System) has defined a new collateral object called Warehouse Receipt. Warehouse Receipt is a proof of ownership of a commodity that can be negotiable, exchanged and pledged. This article used Normative Juridical Assessment by assessing and analyzing the primary, secondary and tertiary legal material. It is related to the Law of Banking, generally in collateral, and particularly in Act No. 9/2006 about Warehouse Receipt System. Warehouse Receipt as a negotiable instrument can be classified into moveable goods. Such classification is based on an argument that Warehouse Receipt has an economical value. Thus, it can be used as a collateral object. Warehouse receipt as a pledged moveable good may comply with the terms of execution in pledge.

Abstract

Virtual property such as softwares, e-books, and games are commonly seen as things with economic values. This study discusses the position of bezitter in the authorization of virtual property and the object delivery in sales and purchase transactions of virtual property. Juridical-normative method with statute and conceptual approaches are all applied. The result shows that bezitter is seen as the owner, and thus, a sales-and-purchase transaction as well as the object delivery of virtual property is considered valid and enforceable if it is in accordance to what it has been agreed in End User License Agreement (EULA).

Abstract

Resi Gudang merupakan dokumen bukti kepemilikan atas barang yang disimpan di Gudang yang diterbitkan oleh Pengelola Gudang. Resi gudang sebagai agunan dapat dibebani Hak Jaminan Atas Resi Gudang (Hak Jaminan) sebagai jaminan kebendaan. Jika dikaitkan dengan sifat hak kebendaan, maka Penerima Hak Jaminan (kreditor) memiliki hak mendahului dari kreditor-kreditor yang lain. Akan tetapi dalam pelaksanaannya ternyata eksekusi Hak Jaminan memunculkan beberapa permasalahan, yang mengakibatkan kurang memberikan jaminan perlindungan hukum bagi kreditor. Kreditor mempunyai hak parate eksekusi atas objek jaminan, yaitu melalui penjualan objek jaminan resi gudang yang hanya dapat dilakukan atas sepengetahuan pihak pemberi Hak Jaminan. Pelaksanaan eksekusi diharapkan dapat dilaksanakan dengan lebih sederhana, cepat dan biaya murah, namun dalam kenyataannya, penjualan obyek jaminan berdasarkan hak untuk menjual obyek jaminan atas kekuasaan sendiri hanya dapat dilakukan atas sepengetahuan pihak pemberi hak jaminan, dengan melakukan pemberitahuan secara tertulis. Hal demikian dapat disalahgunakan oleh Kreditor yang beritikad buruk, dengan melakukan penjualan secara semena-mena dengan alasan bahwa hal tersebut telah diberitahukan kepada pemberi hak jaminan, dan tidak ada keberatan dari pemberi hak jaminan. Di sisi lain, ketentuan tersebut juga dapat membuat kedudukan Kreditor menjadi lemah, karena pemberi hak jaminan dapat beralih belum menerima pemberitahuan tertulis, sehingga eksekusi dapat digagalkan.

Abstract

The increasing development in Indonesia, particularly the development of public facilities and infrastructures makes many public contracts, commonly called governmental goods and service contract, increase as well. It is a contract which one of the parties involves the government. In Indonesia, goods and service procurement contracts are not always well-conducted as expected. Lawsuits, which one of those is the liability from one party, may reveal in such contracts. Therefore, this study would discuss about an issue of unilateral contract termination on good-and-service procurement contract along with its solution. Referring to legal regulation related to governmental good-and-service procurement contract, President’s Regulation No. 54 Year 2010 on Governmental Goods and service Procurement and had been amended by President’s Regulation No. 4 Year 2015 about the Forth Amandment of President’s Regulation No. 54 Year 2010 about Governmental Goods and service Procurement.

Abstract

Penelitian ini membahas tentang lembaga jaminan kebendaan atas saham dalam scripless trading dan perlindungan hukum terhadap penerima jaminan saham dalam scripless trading, dua hal inilah yang menjadi objek kajian dalam penelitian ini. Pembahasan ini diteliti dengan mengunakan peraturan perundang-undangan yang terkait dengan objek kajian seperti KUHPerdata, Undang-Undang Pasar Modal dan lain-lain. Metode penelitian hukum yang digunakan di dalam penulisan penelitian ini adalah penelitian hukum normatif didukung dengan bahan hukum primer dan bahan hukum sekunder. Dari pembahasan yang dilakukan dapat disimpulkan bahwa saham termasuk dalam kategori benda bergerak sehingga lembaga jaminan untuk saham adalah gadai dan fidusia. Melihat karakeristik saham dalam sistem scripless trading maka penitipan kolektif milik KSEI menjadi penting dalam pelaksanaan scripless trading ini jika saham tersebut keluar dari penitipan KSEI maka secara otomatis saham tersebut diluar scripless trading. Sehingga saham dalam penitipan kolektif milik KSEI dijaminkan mengunakan lembaga jaminan gadai. Sedangkan untuk perlindungan hukum terhadap penerima jaminan saham dalam scripless trading sudah mempunyai dasar hukum terkait dengan pelaksanaan dari scripless trading di pasar modal dan keabsahan sahamnya serta perlindungan oleh KSEI terhadap saham yang dijaminkan tersebut.

Abstract

Recently, the total number of registered P2P Lending Fintech promoters has reached 144 companies after 17 fintech joined in one month and had a business license in October 2019. The status of business lisence conferred to platforms registered in OJK has met a number of requirements such as information security in the form of ISO 271001, digital signature and the principle of risk management. As an “umbrella organizationn” for all fintech companies in Indonesia, Indonesia Fintech Association (i.e., AFTECH) has 280 members, which 250 of them operate their business in digital financing system, online credit, innovation on digital finance, insuretech, equity crowdfunding, and etc. The rapid growth of the fintech industry may definitely make a huge contribution to the Indonesian people, especially for retail and unbanked segments. However, this rapid growth potentially evokes legal problems on its implementation as the implementation of credit on peer-to-peer lending does not bring the engaged parties into person but solely through online-access in addition to its less prudence of making transactions, a default of loans which injures the creditors may likely to happen. The importance of legal protection for creditors by selecting an appropriate mitigation of risks (e.g., fiduciary warrant) as a legal assurance for engaged parties, especially the preferent creditors in terms of  possessing the fiduciary certificate when it comes to default. The result of this study with the fiduciary agreement, it will be prioritized in credit disbursement when the debtor turns into bangkruptcy and thus they are not allowed to use their loans for another purpose

Abstract

The Covid-19 Pandemic affects many sectors. Therefore, the Indonesian Government passed the Presidential Regulation Number 12 of 2020 to manage the Pandemic. Unfortunately, this regulation has evoked various interpretations on the disaster contingency as a foundation to apply force majeure condition. The Government’s policies of budget refocusing and reallocation to manage the Covid-19 Pandemic have brought significant effects on goods and services procurement contracts. This condition may lead the Government into default, and it is force majeure. Therefore, the Government is discharged from any liabilities. Consequently, it may injure contractors of procurement. This study aims to investigate the actuality of such procurement contracts following the Presidential Regulation. This study is a normative law research. Based on the Presidential Regulation, the force majeure condition is likely to be applied on procurement contracts. However, the condition does not immediately nullify or terminate the contracts. They remain legally valid and binding. In case of a condition permanently prevents debtor to fulfill obligations, contract can be terminated. In case of a condition temporarily prevents the contract’s implementation, the best solution to encourage conducive business climate is renegotiation that is legalized by contract addendum.Kontrak Pengadaan Barang dan Jasa Pasca Berlakunya Keppres No. 12 Tahun 2020 tentang Penetapan Bencana Non-Alam Penyebaran Coronavirus Disease 2019 (Covid-19) sebagai Bencana NasionalAbstrakPandemi Covid-19 berdampak pada banyak faktor dan membuat pemerintah Indonesia memberlakukan Peraturan Presiden No. 12 tahun 2020 (Perpres 12/2020). Akan tetapi, peraturan ini memunculkan banyak interpretasi tentang kemungkinan bencana untuk menjadi alasan penerapan keadaan kahar. Kebijakan pemfokusan ulang dan realokasi anggaran oleh pemerintah untuk mengatasi Covid-19 membawa dampak signifikan pada kontrak pengadaan publik. Kondisi ini dapat dikategorikan sebagai keadaan kahar, karena menyebabkan pemerintah gagal memenuhi kewajiban dalam kontrak. Oleh sebab itu, pemerintah diberhentikan dari tanggung jawab apa pun, dan hal ini dapat merugikan kontraktor. Penelitian ini bertujuan untuk menganalisa eksistensi Kontrak Pengadaan Publik setelah berlakunya Perpres 12/2020. Penelitian ini merupakan penelitian hukum normatif. Mempertimbangkan Perpres 12/2020, keadaan kahar kemungkinan akan diterapkan pada kontrak pengadaan. Namun, kondisi ini tidak serta merta membatalkan atau mengakhiri kontrak. Kontak tersebut tetap sah secara hukum dan terbatas. Hal ini harus mempertimbangkan apakah pandemi saat ini dapat mengakibatkan keadaan kahar. Dalam hal suatu kondisi yang secara permanen mencegah debitur untuk melakukan kewajibannya, kontrak akan berakhir. Dalam hal suatu kondisi yang secara sementara mencegah kontrak untuk dilaksanakan, negosiasi ulang yang ditindaklanjuti dengan adendum kontrak adalah solusi terbaik yang mendorong iklim bisnis yang kondusif.Kata kunci: Covid-19, keadaan kahar, kontrak pengadaan publik.DOI: https://doi.org/10.22304/pjih.v7n2.a5

Abstract

Small and Medium Enterprises (SMEs) are organized through people's creativity in developing human and natural resources. However, investment challenges often affect their implementation and production processes, necessitating solutions, such as capital loans from banks and other entities. Crowdfunding is an online loaning service that provides easily accessible loans to SME startups, though a warrant to protect creditors from losing money to ingenuine people is necessary. Therefore, this study examines the appropriateness of a fiduciary warrant as a SMEs collateral object. When fiduciary is used as a loan warrant, debtors are allowed to use collateral objects in their production processes. To make a fiduciary warrant effective, legal protection is required. This study used juridical-normative that relied on legal norms in legislation and court verdicts dealing with societal organizational issues. The results showed that crowdfunding-based credit is an alternative with more straightforward procedures compared to conventional entities.
